Welcome to SuitsIndex. These Terms of Service ("Terms") govern your access to and use of our website, web application, and related services provided by SuitsIndex ("we," "us," or "our").
1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms, our Privacy Policy, and where applicable our Data Processing Agreement (DPA). If you do not agree, you may not access or use our services.
2. Use of Services
a. You must be at least 18 years old and legally capable of entering into a contract to use our services.
b. You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations, including data protection laws such as the GDPR where they apply to you.
3. Account Registration
a. You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
b. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
4. Intellectual Property
a. All content and materials provided through our services, including software, text, graphics, logos, and images, are owned by SuitsIndex or its licensors and are protected by intellectual property laws.
b. You may not use, copy, modify, or distribute any content from our services without prior written consent from SuitsIndex.
5. Privacy and Data Protection
a. Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and protect personal data.
b. Where you use SuitsIndex to store client or case data, our Data Processing Agreement (DPA) applies. The DPA is incorporated into these Terms and forms a binding agreement between you (as Controller) and SuitsIndex (as Processor) when you create an account or use the Services for such data.
c. Where GDPR or similar laws apply, personal data may not be stored or processed without a valid legal reason. This requirement applies to all data entered into SuitsIndex, including client names, contact information, case details, court records, and other matter data.
d. If you use SuitsIndex on behalf of a law firm or organization, you acknowledge that you are the data controller for client and case data you upload, and SuitsIndex acts as a data processor under the DPA. Before storing any personal data in the application, you must identify, document, and be able to demonstrate a lawful basis for that processing under applicable data protection law.
e. You must not enter or retain client names, contact details, case information, or any other personal data in SuitsIndex unless a valid legal reason exists. You must delete or anonymize such data when the lawful basis no longer applies or when retention is no longer necessary.
f. You are responsible for providing any required privacy notices to your clients and other data subjects, and for responding to their data subject rights requests in your role as controller.
g. You must not upload or process special categories of personal data through our services unless permitted by applicable law and necessary for your legitimate legal practice, and you must implement appropriate safeguards.
h. Upon request, we will provide information reasonably necessary to demonstrate our compliance with applicable data protection obligations in our role as processor, as further described in the DPA.
6. Limitation of Liability
a. To the extent permitted by law, SuitsIndex shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our services.
b. In no event shall SuitsIndex's total liability to you exceed the amount paid by you for the services during the twelve (12) months preceding the claim.
c. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.
7. Termination
a. We may suspend or terminate your access to our services if you breach these Terms or where required by law.
b. Upon termination, your right to use our services will cease. We will handle your data in accordance with our Privacy Policy and applicable law, including providing reasonable opportunity to export your data where required.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Jordan, without regard to conflict of law principles. If you are a consumer in the European Union, you may also benefit from mandatory protections under the laws of your country of residence.
9. Changes to Terms
We may modify these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Where required by law, we will provide additional notice. Continued use after changes become effective constitutes acceptance, except where your consent is required.
10. User Responsibilities
a. You are solely responsible for maintaining the security of your account and password. Notify us immediately of any unauthorized use.
b. You agree not to engage in any activity that could disrupt, damage, or impair the integrity or performance of our services.
c. You are responsible for the accuracy, legality, and appropriateness of all data you submit through the services.
d. You must ensure that every item of personal data stored in SuitsIndex — including client names, contact information, and case details — has a documented lawful basis under applicable data protection law. Storing personal data without a legal reason is prohibited.
e. You must review stored data periodically and delete or update it when the legal reason for retention no longer exists or when the data is no longer accurate or necessary.
11. Third-Party Services
a. Our services may integrate with third-party services or platforms, including Microsoft Azure for hosting. Your use of such services may be subject to their respective terms and policies.
b. We do not endorse, control, or monitor third-party services and are not responsible for loss or damage arising from your use of them.
12. Data Security
a. We implement appropriate technical and organizational measures to protect data processed through our services. However, we cannot guarantee that unauthorized third parties will never gain access to your data.
b. You agree to use strong passwords and appropriate security practices when accessing our services.
13. Indemnification
You agree to indemnify and hold harmless SuitsIndex and its officers, directors, employees, and agents from claims, liabilities, damages, losses, or expenses arising out of your use of our services, your violation of these Terms, or your violation of applicable data protection or other laws in connection with data you upload or process through the services.
14. Dispute Resolution
Any dispute arising out of or relating to these Terms or your use of our services shall be resolved through arbitration administered by Arbitratores joury in accordance with its rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and, where applicable, our Data Processing Agreement, constitute the entire agreement between you and SuitsIndex regarding your use of our services and supersede all prior or contemporaneous agreements and understandings.
17. Waiver
The failure of SuitsIndex to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18. Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
19. Survival
Sections relating to intellectual property, privacy and data protection, limitation of liability, indemnification, dispute resolution, and severability shall survive termination or expiration of these Terms.
